Aurca AI is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained in this Subscriber Agreement ("Agreement"). Your use of Aurca AI and your receipt of any subscription-based services, AI models, AI-generated results, insights, or information made available through Aurca AI (collectively, the "Information" and the "Service" or "Services") constitutes (i) your agreement to all such terms, conditions, and notices; (ii) your agreement to be bound by and comply with this Agreement; and (iii) your consent to the collection, use, and disclosure of personal information as described in the Privacy Statement. If you do not agree and consent, you are not authorized to access Aurca AI or use its Information or Services.
Please read the terms and conditions of this Agreement carefully; they impose obligations on you and govern your relationship with Aurca AI. By accessing any of the Information or Services, you acknowledge that you have read and understood the terms and conditions of this Agreement and agree, without limitation or qualification, to be legally bound by and comply with them.
You shall be responsible for obtaining the requisite communication lines and internet connections to interface with Aurca AI. You understand and agree that nothing in this Agreement constitutes an undertaking by Aurca AI to continue providing the Information or Services in their present form or configuration. Aurca AI, in its sole discretion, may from time to time modify the Information or Services, including the AI models and their outputs, regardless of whether such modifications require changes to your devices or equipment. You bear all risks of failing to make concurrent modifications to your systems, and neither Aurca AI nor its Information Providers (defined as the sources from which Aurca AI obtains data or information used in the Services) shall be responsible if such changes affect your access to or use of the Services.
The Services include proprietary software and AI models developed by Aurca AI and/or licensed from third parties ("Third Party Suppliers") (collectively, "Aurca AI Software"). Aurca AI and its Third Party Suppliers retain title and ownership of the Aurca AI Software, including all copyright and other intellectual property rights therein. Your receipt of the Services does not constitute a sale or transfer of ownership of the Aurca AI Software or AI models. You agree not to alter, reverse-engineer, decompile, disassemble, or attempt to derive the source code or underlying algorithms of the Aurca AI Software or AI models.
You acknowledge that Aurca AI and its Information Providers have proprietary rights in certain trademarks, service marks, trade names, corporate names, and the Information, including AI-generated results and insights derived from financial industry data and prediction markets (the "Intellectual Property"). You agree not to use such Intellectual Property in any manner that would infringe upon the rights of Aurca AI or its Information Providers. You further agree not to alter, remove, or obscure any copyright notices or proprietary markings on any part of the Services or Information.
You agree that the Information Providers have the right to enforce the terms of this Agreement and are expressly intended to be third-party beneficiaries hereof.
You are authorized to receive and use the Information, including AI model results and insights, solely for your personal or internal business purposes as permitted under this Agreement. Any other use, including but not limited to retransmission, republication, or redistribution of the Information, in whole or in part, is prohibited unless expressly authorized in writing by Aurca AI. You agree not to use the Information or Services to create, sponsor, or facilitate the trading of financial instruments, prediction market contracts, or investment products (e.g., derivatives, structured products, or funds) based on or derived from the Information without a separate written agreement with Aurca AI or the applicable Information Provider.
You are solely responsible for maintaining the confidentiality of your account credentials (e.g., username and password). You must immediately notify Aurca AI at support@aurca.ai of any known or suspected unauthorized use of your account or breach of security. You are fully responsible for all activity on your account, including by any third party you authorize to use your credentials.
When subscribing to the Services, you may be required to represent whether you are a Professional or Non-Professional user. To qualify as a Non-Professional, you must warrant that you: (i) are an individual not acting as a broker, dealer, investment advisor, or other regulated financial professional under applicable laws; (ii) will use the Information solely for personal investment purposes and not for trade or business activities; (iii) are over eighteen (18) years of age; and (iv) are entering this Agreement in your individual capacity, not on behalf of a firm or entity. If your status changes, you must promptly notify Aurca AI at support@aurca.ai.
Professional users (e.g., brokers, traders, or financial industry professionals) must disclose their status and may be subject to additional agreements or fees. Aurca AI reserves the right to deny or terminate Service to any Subscriber who misrepresents their status.
Subscription fees for Aurca AI are detailed on our website and may be amended at our sole discretion without notice. Fees are payable monthly or annually in advance via credit card, with additional payment options (e.g., ACH, wire transfer) available for annual or corporate subscriptions. Fees may include non-refundable charges passed through to Information Providers or prediction market data providers.
Subscriptions are billed upon signup or at the end of any trial period, with automatic renewal until canceled. You may cancel at any time by submitting a written request to support@aurca.ai prior to your renewal date, subject to a 30-day cancellation policy for monthly subscriptions. No refunds are available for annual subscriptions unless otherwise required by law.
The Information and Services, including AI model results and insights, are provided for informational purposes only and do not constitute financial, investment, or trading advice, nor an offer to sell or solicitation to buy any security, financial instrument, or prediction market contract. You acknowledge that the Services are not intended to provide personalized advice regarding the suitability of any investment or strategy, and any decisions made in reliance on the Information are at your sole risk.
Aurca AI strives to provide the Services and Information as promptly and accurately as reasonably practicable. However, neither Aurca AI nor its Information Providers guarantee the timeliness, accuracy, completeness, or reliability of the Information, including AI model outputs, which may be based on probabilistic predictions or incomplete data. THE SERVICES AND INFORMATION ARE PROVIDED "AS IS," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Neither Aurca AI nor its Information Providers shall be liable for any loss or injury caused by delays, inaccuracies, errors, or omissions in the Services or Information.
To the fullest extent permitted by law, neither Aurca AI nor its Information Providers, affiliates, agents, or licensors shall be liable for any errors, inaccuracies, omissions, or delays in the Services or Information, or for any claims or losses arising therefrom, unless caused by Aurca AI's gross negligence or willful misconduct. "Claims or Losses" include all liabilities, damages (direct, indirect, punitive, special, consequential, or incidental), costs, and expenses (e.g., legal fees). In no event shall liability exceed the amount paid by you for the Services in the preceding month (if a current subscriber) or a refund of fees due for the period at issue (if no longer a subscriber).
You agree to indemnify and hold harmless Aurca AI, its Information Providers, and their respective officers, directors, employees, and agents from any Claims or Losses arising from your breach of this Agreement or misuse of the Services or Information.
This Agreement begins upon your acceptance (e.g., clicking "Agree" or using the Services) and continues until the end of your subscription term, renewing automatically unless terminated. Aurca AI may terminate this Agreement or your access to the Services immediately, without notice, if you breach any term or if required by law or Information Providers.
This Agreement is governed by the laws of the State of California without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association, conducted in San Francisco, California. You waive your right to a jury trial or to participate in a class action lawsuit. Claims must be filed within one (1) year of arising.
